of  Truss & Frame Connectors

1. Scope This document sets out the terms and conditions applicable to the sale of Goods within Australia by the Distributor . Except if expressly agreed in writing by a Director of the Distributor (including making a reference to this document), these terms and conditions shall apply despite any provision to the contrary which may appear in any document issued by a Customer, including the Customer’s terms and conditions of purchase.
2.  Definitions In this document, where the context permits:
“Australian Law” means the State (or Territory) and Commonwealth laws in force in a relevant place in Australia.
“Customer” means an, Australian-resident, intended purchaser of Goods from the the Distributor.
“Distributor” means Gripstrip Pty Ltd, the purchaser of the Goods.
“Goods” means GRIPSTRIP Truss & Frame Connectors.
“GST” means Goods and Services Tax, as defined in relevant legislation of the Commonwealth of Australia.
“Price List” means a price list prepared by the Distributor from time to time, setting out the prices and places at which it is prepared to sell and deliver the Goods to Customers.
“Purchase Order” means an order for the purchase of Goods, prepared by the Customer and sent to the Distributor, setting out the relevant Purchase Order number, the delivery point, contact details at the delivery point, a description of the Goods, the quantities and the preferred delivery date.
“Tax Invoice” means a tax invoice supplied by the Distributor, setting out the relevant Purchase Order number, the delivery point, a description of the Goods, the quantities, the corresponding Prices and the total Price Payable or Paid (with GST separately identified).
3.  Purchase Order The Customer shall place orders for Products on the Distributor by sending a Purchase Order to the Principal by email or fax.
4.  Payment in advance  The Distributor shall not despatch the Goods until it has received full payment from the Customer.
5.  Price Subject to the other provisions of this document, the price payable by the Customer for the Goods shall be the price determined by reference to the most recent Price List of the Principal (as at the date of despatch of the Goods by the Distributor) or the price quoted in writing by the Distributor to a Customer for a particular order. Different prices may apply to different order lot sizes. Prices will include transport to places agreed from time to time by the Distributor. In the event of ambiguity about the calculation of the price or the meaning of any part of the Price List, the determination of the Distributor in writing shall prevail.  All prices and payments shall be in Australian dollars unless the parties otherwise agree in writing in advance. The Distributor reserves the right to issue new Price Lists at any time without advance warning.
6.  Minimum order size  The Principal reserves the right to specify minimum order sizes for delivery to all or any places and to change that minimum order size from time to time without notice in advance.
7.  Delivery Delivery of the Goods shall be made on a free into store basis to particular locations identified by the Distributor in the Price List or in a quotation from the Distributor to the Customer.
8.  Delivery Docket The Goods shall be delivered with a delivery docket on the outside of the packaging. The delivery docket shall refer to the Purchase Order number. The delivery docket shall refer to the number of packages making up the order, a description of the Goods and the quantities.
9.  Packaging The Distributor shall package the Goods to provide a reasonable level of protection from damage or loss.
10.  Acceptance of Delivery Signature of a Proof of Delivery by a representative of the Customer or by a provider of transport or storage services to the Customer shall be prima facie evidence of delivery.
11.  Delivery Date The Distributor shall endeavour to deliver the Goods on the delivery date requested by the Customer, but the Customer shall not be entitled to make any claim against the Disributor if it is unable to do so.
12. Rejection / Cancellation of Order by Distributor The Distributor may reject a Purchase Order by notifying the Customer in writing within four business days after receiving the Purchase Order. The Distributor reserves the right to cancel a Purchase Order at any time by notice in writing to the Customer immediately after its business (or the business of a supplier to it) is adversely and materially affected by circumstances outside of its reasonable control including, but not limited to, war, strike, lockout, other industrial dispute or unrest, government restriction or intervention, transport delay, fire, act of God, breakdown of plant, shortage of supplies or labour, storm or tempest, theft, vandalism, riots, civil commotions or accidents of any kind.
13.  Tax Invoice / Receipt No later than 30 days after delivery of the Goods, the Distributor shall deliver a corresponding Tax Invoice / Receipt to the Customer. Delivery may be made by mail or email to the Distributor’s nominated address for delivery of Tax Invoices / Receipts or may be made by delivery with the Goods.
14.  Warranties and liability The Principal provides no warranty to the Customer about the Goods other than the warranties which cannot be excluded, restricted or modified because of the application of any provision of any Australian Law. To the extent permitted by Australian Law, the Distributor’s maximum liability to the Customer in respect of a claim about the Goods shall not exceed the invoiced price of the Goods. 
15.  Title, Risk and Insurance Subject to the other provisions of this document, title to and risk in the Goods shall pass to the Customer on the delivery of those Goods to the relevant agreed delivery address. The Customer shall be responsible for the insurance of the Goods from that point.
16.  Governing Law The parties agree that this document shall be construed according to the laws applicable in the State of New South Wales. The parties submit to the non-exclusive jurisdiction of the courts of that State.
